Terms of Use of the Website

Overview

Timetric Ltd operates a network of websites distributing and publishing data, providing interactive interfaces and allowing the viewing and creation of statistical information. These are our terms of use for use of the websites, which you may access in several ways, including but not limited to the World Wide Web, and Application Programming Interfaces. These terms of use apply whenever you access the websites, by whatever means, on whatever device.

By using the websites, you are deemed to have accepted these terms of use.

Some areas of the websites require registration. By completing the initial registration form and by entering your email address and password, you will be deemed to have accepted these terms of use. Also, by subscribing to any of our email services, you are deemed to have accepted these terms of use. If you register on the websites, you should read our Privacy Policy.

Timetric encourages you to use and reuse all the publically available data and visualizations which are hosted on our websites. Our visualizations include a link back to the website, and a note that the visualization was produced on Timetric – you must not remove these attributions or links.

Some of this data is sourced from third parties who license this data for redistribution under certain conditions (for example, requiring attribution). We show these licenses where appropriate, and you must comply with the terms of these licenses.

Timetric also encourages you to use our tools to create visualizations which you can embed and re-embed , whether on the public web or in internal documents for commercial or non-commercial use. In order that we can show these visualizations wherever they are embedded, you must grant us a license to do so.

If you wish to use our content other than as permitted by these Terms of Use, then you need a licence to do so. Licenses are available for systematically redistributing or reproducing significant portions of our material; please contact sales@timetric.com to discuss your requirements.

Any changes we make to these Terms of Use will be listed in the Appendix.

Definitions

Data

the data hosted by Timetric, originating from various sources, the IP in which may be owned by parties who are not Timetric.

Material

any material published on the Websites, including but not limited to Data, Statistical Information and text content.

Statistical Information

the statistical information, including but not limited to generated data, computer files containing data, graphical representations of data whether in print form or computer form, analysis and discussion of Data or other Statistical Information in the form of text, produced by Timetric software, whether automatically, under the control of Timetric employees or under the User’s control.

User

the user who is accessing the Websites under these Terms of Use. Also, “You”, “Your”.

the websites that Timetric operates.

Terms of Use

1. Registration
   1. When You register, You are registering as a user of the Websites. Access to registration areas is via Your email address and password. We allow you access to the registration areas of the site on the basis that:
      1. Your email address and password are personal to You and may not be used by anyone else to access the Websites;
      2. You will not do anything which would assist anyone who is not a registered user to gain access to any registration area of the Websites;
      3. You do not maliciously create additional registration accounts for the purpose of abusing the functionality of the Websites, or other users; nor do You seek to pass yourself off as another user;
      4. You comply with these Terms of Use.
   2. If, for any reason, We believe that You have not complied with the requirements of clause 1a, We may, at our discretion, cancel Your access to the registration areas of the Websites immediately and without giving You any advance notice.
2. Use of Material appearing on the Websites.
   1. Timetric publishes Material on its Websites. Some of the Data in the Material is used under license from third parties who retain Intellectual Property in their Data. Some of the Material consists of Statistical Information which is provided in a form which is easily shareable and republishable.
   2. You may download and republish portions of the Material, and make copies for your own personal or commercial use. Wherever you do so, you will include an attribution to Timetric as the source of the Material. Where the republishing occurs in media which support it, the republished Material will be accompanied by a hyperlink back to the Websites.
   3. Where the Material you are downloading or republishing includes Data which originates from a third party, You will abide by the terms of the license under which that Data is made available.
   4. You will not download, extract, re-embed or republish the Material, or extracts from it, in a systematic or regular manner or otherwise so as to create a database in electronic or paper form comprising all or part of the Material appearing on the Websites.
3. Creating Statistical Information on the Websites
   Some of the Websites include functionality allowing You to create new Statistical Information including but not limited to graphs and other visual representations of Data. In respect to any Statistical Information which You create by using the Websites and any other tools provided by Timetric, You grant Timetric a world-wide, non-exclusive licence to reproduce, vary, amend or combine the said Statistical Information for commercial and other use including but not limited to resale, and marketing and advertising materials.
4. Supply of services
   1. Access to Our Websites is permitted on a temporary basis, and We reserve the right to withdraw or amend the service we provide without notice. We will not be liable if for any reason some or all parts of the Websites are unavailable at any time or for any period.
   2. From time to time, We may restrict access to some or all parts of the Websites to users who have registered with Us.
   3. You are responsible for making all arrangements necessary for You to have access to the Websites. You are also responsible for ensuring that all persons who access the Websites through Your internet connection are aware of these Terms of Use, and that they comply with them.
   4. We aim to update our site regularly and may change the content at any time. If the need arises, we may suspend access to the Websites, or close them indefinitely. Any of the Material on the Websites may be out of date at any given time and We are under no obligation to update such material.
5. Disclaimer of liability
   1. To the extent permitted at law, We do not accept any responsibility for any statement in the Material provided on the Websites. You must not rely on any of the Material without first taking specialist professional advice.
   2. We do not make any warranties as to the accuracy of any Data which we publish, nor to the accuracy by which the Websites reproduce Data originating from third parties. We do not make any warranties as to the accuracy or relevancy of any Statistical Information displayed on the Websites.
   3. For the avoidance of confusion, We will not be liable for any loss caused as a result of Your doing, or not doing, anything as a result of viewing or otherwise interacting with the Material or any part of it.
   4. Nothing in these Terms of Use shall limit or exclude Timetric’s liability for:
      1. death or personal injury caused by its negligence, or the negligence of its employees, agents, or subcontractors;
      2. fraud or fraudulent misrepresentation
      3. breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).
   5. You can access other sites via links from the Websites. These sites are not under Our control and We are not responsible in any way for any of their contents.
   6. We give no warranties of any kind concerning the Websites or the Material. In particular, We do not warrant the Websites or any of their contents is virus free. You must take your own precautions in this respect as we accept no responsibility for any infection by virus or other contamination or by anything which has destructive properties.
6. Transactions concluded through the Websites
   Transactions concluded through timetric.com are governed by our Terms and Conditions of Purchase. If You choose to purchase You do so on the understanding that we sell licensed Material, the Terms and Conditions for use of which are explained in the Terms and Conditions of Purchase.
7. Data protection
   We process information about you in accordance with our Privacy Policy. You consent to such processing and you warrant that all data provided by you is accurate.
8. Variation of terms
   These terms may be varied from time to time. Please ensure that You review these Terms of Use regularly as You will be deemed to have accepted a variation if You continue to use the site after it has been posted. Details of variations will be listed in an appendix below.
9. Governing law & jurisdiction
   These Terms of Use, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with English law and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
